Welcome to Austling Guangzhou Co., Ltd. (AutoTEC). These Terms and Conditions govern your use of our website and constitute the legal agreement between you (the “Buyer” or “Client”) and AutoTEC (the “Company”, “we”, or “us”) regarding the purchase of automatic transmission components and related B2B services.
1. General Provisions
By placing a purchase order, requesting a quotation, or using our services, the Buyer agrees to be bound by these Terms and Conditions. Any deviations, special agreements, or modifications to these terms must be confirmed by AutoTEC in writing.
2. Quotations and Orders
- Validity: Unless otherwise stated, all formal quotations provided by AutoTEC are valid for a period of thirty (30) days from the date of issue. Prices are subject to change after this period due to raw material fluctuations or exchange rates.
- Minimum Order Quantity (MOQ): All products are subject to specific MOQs. Orders below the MOQ will only be accepted at the sole discretion of the Company and may incur additional processing fees.
- Order Confirmation: An order is only considered legally binding once AutoTEC issues a formal Proforma Invoice (PI) or Order Confirmation.
3. Pricing and Payment Terms
We operate strictly on a B2B basis. Our standard commercial terms are as follows:
- Incoterms: Unless otherwise negotiated, prices are quoted EXW (Ex Works) or FOB (Free On Board) Guangzhou/Shenzhen. CIF or DAP terms can be arranged upon request.
- Payment Methods: Standard payment terms are a 30% deposit via T/T (Telegraphic Transfer) upon order confirmation, and the 70% balance prior to shipment or against the copy of the Bill of Lading (B/L). Irrevocable L/C at sight is accepted for large volume orders subject to prior approval.
- Taxes and Duties: The Buyer is responsible for all import duties, taxes, and customs clearance fees in the destination country.
4. Manufacturing and Lead Times
AutoTEC strives to meet all estimated delivery dates. However, lead times provided in quotations or order confirmations are estimates based on current production capacity and material availability.
We shall not be held liable for delays caused by Force Majeure events, including but not limited to raw material shortages, port congestion, strikes, natural disasters, or government restrictions.
5. Shipping and Delivery
Risk of loss or damage to the goods transfers to the Buyer strictly in accordance with the agreed Incoterms (e.g., upon loading the goods onto the vessel for FOB terms). The Buyer is strongly advised to procure adequate marine/cargo insurance.
6. Warranty and Claims
AutoTEC guarantees that all transmission components (steel plates, friction plates, overhaul kits, etc.) are manufactured to OE specifications and are free from material and workmanship defects.
- Inspection: The Buyer must inspect all goods within fourteen (14) days of arrival at the destination port. Any claims regarding quantity discrepancies or visible defects must be submitted in writing within this period.
- Performance Warranty: We offer a 12-month or 20,000 KM (whichever comes first) limited warranty on our transmission hard parts and repair kits from the date of installation, provided they are installed by certified technicians using correct fluids and procedures.
- Exclusions: This warranty strictly covers the replacement of the defective parts. AutoTEC is not liable for any towing charges, transmission fluid, consequential damages, or labor costs incurred during the removal or re-installation of the transmission.
7. Custom Orders and OEM Services
If the Buyer requests parts manufactured to custom specifications, drawings, or samples:
- The Buyer guarantees that they hold the necessary intellectual property rights for the provided designs and indemnifies AutoTEC against any third-party patent infringement claims.
- Molds and tooling developed specifically for the Buyer remain the property of AutoTEC unless exclusively paid for and agreed otherwise in writing.
8. Limitation of Liability
To the maximum extent permitted by law, AutoTEC’s total liability for any claim arising from the supply of goods shall not exceed the total purchase price of the specific defective goods. We shall under no circumstances be liable for any indirect, incidental, special, or consequential damages, including loss of profit or loss of business opportunity.
9. Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any disputes arising out of or in connection with these terms or commercial contracts shall be settled amicably through negotiation. If a settlement cannot be reached, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou for arbitration.
